Arriva Italia, the Italian branch of the Arriva Group - one of Europe's leading mobility operators— is looking for a Legal & Compliance Specialist to strengthen its Legal & Compliance Team.
You will support the Company's legal and compliance framework, ensuring adherence to applicable laws, internal policies and corporate governance standards.
The role combines compliance and corporate governance responsibilities, with a particular focus on the implementation and maintenance of the Compliance Program, Legislative Decree 231/2001, whistleblowing processes and corporate secretarial activities within a multinational environment.
Key Responsibilities- Support the implementation, monitoring and continuous improvement of the Company's Compliance and Ethics Program, ensuring alignment with Arriva Group policies, standards and governance requirements through regular coordination with the Group Compliance function.
- Support the implementation and periodic update of the Organisation, Management and Control Model pursuant to Italian Legislative Decree 231/2001, including risk assessments, control monitoring, documentation and liaison with the Supervisory Body (Organismo di Vigilanza).
- Manage and coordinate the Company's whistleblowing framework, ensuring compliance with applicable legislation, supporting the handling of reports, coordinating investigations with relevant stakeholders and monitoring corrective actions in collaboration with the Arriva Group Compliance and Speak Up teams.
- Coordinate third‑party integrity due diligence activities and monitor legal and regulatory developments, supporting the implementation of any required changes to the compliance framework.
- Draft, review and implement local compliance policies, procedures and guidelines in line with Arriva Group requirements, promoting awareness and ensuring effective local adoption.
- Coordinate compliance training and awareness initiatives, supporting the local rollout of Group compliance programmes.
- Prepare compliance reports and support internal and external audits, ensuring timely reporting and effective coordination with Group Compliance and other relevant stakeholders.
- Manage corporate governance activities for the Company's Italian legal entities.
- Coordinate Board of Directors' and Shareholders' meetings, including the preparation of agendas, resolutions, minutes and supporting documentation.
- Maintain statutory books and corporate records.
- Coordinate corporate filings and liaise with notaries, external advisors and public authorities.
- Support corporate reorganisations, directors' appointments, delegations of authority and powers of attorney.
- Ensure compliance with corporate governance requirements and applicable company law.
- Master's Degree in Law.
- 2–5 years of professional experience in a multinational company and/or an international law firm.
- Experience with corporate compliance programs.
- Knowledge of Italian Legislative Decree 231/2001 and whistleblowing regulations.
- Knowledge of corporate governance and company secretarial activities is considered a plus.
- Fluent in Italian and English, both written and spoken.
The role will be based in Milan (via Ludovico d'Aragona 11 - Udine M2) or at one of our offices, to be agreed together based on your preferences and organizational needs.
